Intellectual Property and Patent Pending Status
The Contractor acknowledges that the “Zero-Edge Door” provided as a sample—including but not limited to its structural design, concealed edging mechanics, flush-mount systems, aesthetic profile, and associated hardware—is the exclusive proprietary property of the Client.
The Contractor is hereby placed on formal notice that the Zero-Edge Door is currently the subject of a pending patent application filed with the United States Patent and Trademark Office (USPTO), 99581205.
All rights, title, and interest in and to the Zero-Edge Door, including all trade secrets, patent rights (both pending and future issued), copyrights, and design rights, remain solely and exclusively with the Client. This Agreement does not grant the Contractor any license to manufacture, sell, or claim ownership of the design.
NON-REPLICATION AND REVERSE ENGINEERING
Given the proprietary and patent-pending nature of the Zero-Edge Door, the Contractor strictly agrees to the following restrictions:
No Reproduction: The Contractor shall not manufacture, replicate, reproduce, or copy the Zero-Edge Door, its concealed edge design, or its mechanical operation, either in whole or in part, for any purpose outside of the Client’s specific project.
No Reverse Engineering: The Contractor shall not disassemble, deconstruct, x-ray, or otherwise reverse-engineer the sample door to discover its manufacturing process, material composition, or internal mechanisms.
No Derivative Works: The Contractor shall not use the Client’s sample or design to develop variations, adaptations, modifications, or “work-around” designs intended to mimic the zero-edge function or bypass the Client’s pending patent claims.
Third-Party Prohibition: The Contractor shall not assist, consult with, or provide information to any third party (including competitors, other clients, manufacturers, or suppliers) that would enable them to replicate or reverse-engineer the Zero-Edge Door.
BINDING ON REPRESENTATIVES AND SUBCONTRACTORS
The restrictions and obligations set forth in this Agreement apply strictly to the Contractor and all of their employees, independent contractors, subcontractors, agents, business partners, and affiliates (collectively referred to as “Representatives”).
The Contractor agrees to:
- Limit access to the Zero-Edge Door only to those Representatives who strictly need it to fulfill the scope of work.
- Inform all such Representatives of the confidential, proprietary, and patent-pending nature of the Zero-Edge Door.
- Be held strictly and fully liable for any breach of this Agreement by any of their Representatives, exactly as if the Contractor had committed the breach themselves.
